Terms of Service

Introduction

These Terms of Service govern your use of IPK Logistics, a SaaS application provided by IPK Labs for ecommerce warehouse operations. By creating an account, connecting a store, or using the app, you agree to these Terms.

Description of Service

IPK Logistics provides tools for bin location management, supplier purchase orders, stock receiving, put away workflows, structured picking rounds, barcode scanner workflows, packing, container tracking, and fulfillment synchronization with connected ecommerce systems.

The service is designed to act as the warehouse execution layer while your ecommerce platform remains the system of record for catalog, order, stock, and fulfillment data.

Account and Access

You are responsible for maintaining the confidentiality of your account credentials and for the actions performed by users in your organization.

You are responsible for ensuring that connected store credentials, API keys, and user permissions are valid and authorized for the workflows you run through IPK Logistics.

Subscription Plans and Billing

Subscription plans are billed monthly. Plans may differ by included order volume, usage limits, and pricing shown in the app at the time of subscription.

All plans may include a free trial where stated in the app. A free trial is available only once per organization or connected store, unless we explicitly agree otherwise.

Orders processed above the included plan limit may be charged as usage according to the pricing shown in the app.

Payments, subscription renewals, cancellations, and refund requests are processed by Paddle as merchant of record and are subject to the Paddle Buyer Terms and Paddle Refund Policy.

Cancellation and Refunds

You must cancel your subscription explicitly within the app to stop billing. Disconnecting a store, removing an integration, or no longer using the service does not by itself cancel your subscription.

You can cancel a subscription at any time. Cancellation takes effect at the end of the current billing period and prevents future subscription charges.

Refund requests must be submitted within 14 days of the transaction date. Refunds are handled by Paddle according to the Paddle Refund Policy and Paddle Buyer Terms.

If a refund is approved, access to the relevant subscription may cease.

Data and Operational Records

Operational records entered or generated in IPK Logistics, including purchase orders, receiving records, picking rounds, fulfillment records, bin locations, supplier information, and container assignments, are used to operate warehouse workflows.

Data synchronized back to your ecommerce platform remains under your control in that platform. Bulk imports or sync operations may overwrite existing operational fields when you instruct the app to perform those actions.

Data Retention and Deletion

Operational data is generally retained for 6 months from creation. After subscription cancellation, active authentication sessions and credentials are removed, and operational data is deleted within 48 hours except where retention is required for billing, security, legal, or accounting compliance.

Availability and Support

We aim to provide reliable service but do not guarantee uninterrupted availability. Scheduled maintenance, third-party platform issues, hosting issues, or payment provider issues may affect access to the app.

Limitation of Liability

The app is provided as is, without warranties of any kind, express or implied, to the fullest extent permitted by law.

We are not responsible for warehouse, inventory, purchase order, picking, packing, fulfillment, carrier, or synchronization errors caused by incorrect data entry, invalid store data, CSV imports, barcode mismatches, third-party platform issues, or unauthorized account access.

Our total liability is limited to the amount you paid for the service in the 12 months preceding the claim.

Changes to These Terms

We may update these Terms from time to time. Changes may be communicated through the app or via the email associated with your account. Continued use of the app after changes take effect constitutes acceptance of the updated Terms.

Governing Law

These Terms are governed by the laws of Portugal. Any disputes arising from these Terms shall be resolved in the courts of Portugal, unless mandatory consumer or data protection law requires otherwise.
